Aurora ("Aurora," "we" or "us") thanks you for visiting our website and/or application. The following Aurora Terms and Conditions (the "Terms and Conditions") apply when you:
- access or use the Site;
- register as an Aurora member ("Member") to access services including data tracking, research tools, and clinical insights (collectively, the "Aurora Services"); or
- participate in any research, trial, or data sharing programs offered from time to time.
This Agreement includes these Terms, and any supplemental policies. Please review carefully.
BY USING AURORA YOU AGREE TO THESE TERMS AND OUR PRIVACY POLICY.
Aurora is a data synthesis and transmission platform. It does not provide medical advice, diagnosis, or treatment. The Platform acts as a conduit for User-Generated Data (UGD) from the Heylixir mobile application to the Institutional Client.
Data Access Consent & GDPR Compliance
User Agency: Access to data is strictly contingent upon the individual patient’s affirmative consent via the Data Sharing Report (DSR) trigger.
Institution Responsibility: The Institution acknowledges that Aurora cannot compel a patient to share data. The failure of a patient to "Opt-In" does not constitute a breach of service by Aurora.
Independent Revocation: Users retain the right to revoke data access at any time. Aurora shall not be liable for any gaps in longitudinal data resulting from user-initiated revocation.
Limitation of Liability
No Medical Liability: Aurora shall not be held liable for any medical decisions, clinical trial outcomes, or patient health events occurring during the use of the platform.
Data Integrity: While Aurora standardizes data into EHR formats, the Institution is responsible for verifying the accuracy of the data before using it for clinical or regulatory submissions.
Indirect Damages: In no event shall Aurora be liable for loss of profits, loss of research data, or any "noisy" data outcomes resulting from patient misreporting.
Exclusion of Consequential Damages: In no event shall Aurora, its officers, or its partners be liable to the Institution or any third party for any indirect, incidental, special, exemplary, or consequential damages. This includes, without limitation:
- Trial Failure: Loss resulting from the suspension, termination, or failure of a clinical trial.
- Data Loss: Losses arising from "noisy," inaccurate, or incomplete user-entered data.
- Regulatory Fines: Any penalties imposed by health authorities due to the Institution’s data submission.
- Lost Profits: Even if Aurora has been advised of the possibility of such damages.
Liability Cap: To the maximum extent permitted by law, Aurora’s total cumulative liability to the Institution for any claim arising out of or relating to the service—whether in contract, tort, or otherwise—shall not exceed the total amount of fees paid by the Institution to Aurora during the twelve (12) months immediately preceding the event giving rise to the claim.
Indemnification
The Institution agrees to indemnify and hold harmless Aurora and its partners from any claims, losses, or regulatory fines arising from the Institution’s misuse of the data or failure to obtain proper IRB approval for their specific study.
Data Provenance & Reliability Disclaimer
The "Garbage In, Garbage Out" Clause: Aurora is a processor of Subjective Patient-Reported Outcomes (PROs). Aurora does not verify the clinical truth of the data entered by the user. The Institution assumes all risk regarding the clinical validity of the data for regulatory (FDA/EMA) submissions.
Formulaic Accuracy: While Aurora uses standardized algorithms for data synthesis, the Institution is responsible for the final audit of any DSR output before it is used to influence patient treatment.
Service Level Agreement (SLA) & Force Majeure
Uptime Guarantee: Specify a 99.9% uptime for the Aurora Dashboard, excluding scheduled maintenance and update periods.
Data Latency: Aurora is not liable for delays in data transmission caused by the User’s hardware (e.g., a patient’s smartphone being offline) or third-party cloud outages.
Intellectual Property (IP) Boundaries
Aurora IP: All synthesis algorithms, UI/UX, and the "Intelligence Layer" remain the sole property of Heylixir.
Institutional Data: The output (the synthesized data) belongs to the Institution once the User opts in, but the system used to generate it does not.
Warranty Disclaimers
1. "As-Is" and "As-Available" Service
Aurora, including its Intelligence Layer, DSR engine, and all associated synthesis tools, is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, Aurora expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular clinical purpose, and non-infringement.
2. No Guarantee of Regulatory Acceptance
The Institution acknowledges that Aurora is a technical intermediary. Aurora does not warrant that the Data Sharing Reports (DSR), standardized outputs, or any data synthesized by the platform will:
- Be accepted by the FDA, EMA, or any other national or international regulatory body.
- Meet the specific evidentiary standards for any Phase I, II, III, or IV clinical trial.
- Be sufficient, on its own, to prove the safety or efficacy of any pharmaceutical, medical device, or therapeutic intervention.
3. Clinical Decision Support (Not Medical Advice)
Aurora is a data management tool and not a medical device.
Institutional Responsibility: The Institution and its Medical Professionals maintain sole responsibility for all clinical decisions, diagnoses, and treatment plans derived from the data.
No Reliance: Any "insights" generated by the Aurora Intelligence Layer are intended as supplementary information and should not be relied upon as the sole basis for clinical action or trial conclusions.
Privacy-First Architecture
Aurora operates on a permission-based synthesis model. Patient data remains encrypted and private by default and is only shared when a user explicitly triggers a Data Sharing Report (DSR).
Users retain full control over their data, including what is shared, when it is shared, and with whom.
Institutions receive only consented, structured outputs (FHIR/HL7-ready formats) and not raw encrypted data unless authorized.
Subscriptions & Payments
Some Aurora features may require subscription payments. Fees are billed according to the selected plan and may include any additional services agreed upon by both parties where applicable.
Data Security
Aurora uses end-to-end encryption, role-based access controls, and audit logging for all Data Sharing Report events. Data integrity and privacy are central to our architecture.
